Google AdWords and Google Conversion Tracking

General Terms and Conditions (GTC)

1 Definitions

  • LORENTZ – Any of the business trade entities of LORENTZ. These are but are not limited to BERNT LORENTZ GmbH and LORENTZ Pump Mechanics (Beijing) Co.,Ltd. The supplying LORENTZ entity is liable for terms of GTC and war-ranty policy.
  • GTCs – LORENTZ general terms and conditions
  • Products – products, services or software supplied by LORENTZ
  • Contract – formal agreement to purchase Products
  • Buyer – The company, organization or individual that purchases Products from LORENTZ

2 General

The GTCs are applicable for the Products supplied to the Buyer from LORENTZ. All agreements, quotations, order confirmation, prepayment invoices and invoices are governed solely by the GTCs. The buyer confirms the acceptance of the GTCs with placing an order and/or with acceptance of delivery. Any different or conflicting conditions from the Buyer, which are not explicitly confirmed by LORENTZ in written form, are not binding. Express contradiction or non-acceptance of alternative terms proposed by the Buyer is not required.

3 Quotation

Quotations or any other form of an offer from LORENTZ are subject to alteration and must be made in writing. All documents contained in the quotation such as COMPASS layouts, diagrams, illustrations, weights, volumes and other measurements are indicative unless they have been expressly stated to be binding. Availability of products offered in the quotation, are subject to prior sale. LORENTZ reserves the copyrights and ownership of quotations and all offer documentation. Quotations and all offer documentation should not be made available to third party with-out upfront written approval of LORENTZ. A Contract is only formed when written order confirmation has been provided by LORENTZ.

4 Order confirmation

If written order confirmation has been provided, then it is decisive regarding production time, type, volume of the delivery and price. Minor alterations of the Products to be supplied in terms of design, form, construction and the values stated in the description are permissible, provided they do not impede the intended use, quality or function. Any obvious mistakes including printing, arithmetical, spelling or costing errors are not binding and do not give basis for claims.

5 Prices and conditions of payment

LORENTZ list prices apply for Products. On some Products a Buyer discount may apply but it must be explicit stated. List prices and Buyer discounts may change overtime and it is buyer responsibility to verify with LORENTZ the latest valid price lists and discounts. Any discounts are either project or partner accreditation level related and remain subject to change at LORENTZ discretion.

Unless separately agreed, prices of LORENTZ are EXW (ex-works, Incoterm-Code 2010) including loading and standard road transit packaging. Prices do not include value-added taxes or any additional services.

All invoices from LORENTZ, if not otherwise agreed, are due immediately, net without any further discounting. Payment is deemed to be made when our account is credited.

If alternative payment terms have been agreed in writing, any failure to meet the payment terms will automatically void any rebates, accreditation benefits and other incentives which have been granted. An interest payment amounting to 8% above the applicable base interest rate will also become automatically due.

If the Buyer declines delivery, cancels or significantly reduces volume of the confirmed order, then LORENTZ is entitled to immediately claim 20% of the total order value as compensation and reserve the right to claim higher amount, if damages can be proven. If the Buyer has ordered customized or non-standard Products the confirmed order cannot be cancelled or reduced and the order value will be due.

6 Delivery, transfer of risk, acceptance and transport

Production/Delivery times and deadlines stated by LORENTZ provide an estimated ready to ship, EXW date. Ready to ship dates are approximations and only become binding when they have expressly confirmed in writing by LORENTZ as final ready to ship dates. Production/delivery times begin upon receipt of order confirmation or once technical and commercial questions have been resolved, whichever comes last. If the buyer is in default satisfying his own obligations or making any agreed advance payments, the production/ delivery times will be extended accordingly.

Partial, excess, short or early deliveries are allowed as long as they are not unreasonable and are not explicitly excluded with written confirmation of LORENTZ.

If any shipment, pick-up of a shipment at EXW location by freight for-warder commissioned by the Buy or the acceptance of Products is delayed for reasons within the responsibility of the Buyer, LORENTZ is entitled, starting one month after notification of readiness, to charge the incurred costs of $100 or 0,5% of the invoice amount per month, which-ever is the maximum.

For non EXW transactions the Buyer should carefully inspect the Products on receipt. Any visual or obvious defects must be reported to LORENTZ immediately in written form including photographs of Products and packing.

Transfer of risk will pass when Products are accepted by the Buyer. The acceptance must be performed without any delay on the acceptance date or after the notification that Products are ready to ship. The Buyer cannot refuse acceptance due to an insignificant defect or any other reason beyond LORENTZ responsibility.

In case of force majeure events, government imposed conditions or any other circumstances for which LORENTZ is not responsible (for example strikes, civil unrest, embargoes, natural disasters) that impact our or our suppliers performance exempt LORENTZ from our Ready to ship obligation for the duration of the effects of these events. We may withdraw from the agreement if we cannot expect to perform within reasonable time for the above reasons. Withdrawal in force majeure situations does not entitle the Buyer to damage compensation.

The Buyer is responsible for the provision of all necessary information, documentation, permits, approvals and any other special regulations that apply to his business and import of Products. Buyer is obligated to accept delivery, even if such permits and approvals are not granted or not grant-ed in time.

7 Retention of title

LORENTZ retains title to Products until all payments due under the business relationship have been received. In the event of a breach of contract by the Buyer, particularly default in payment, we have the right to withdraw from the contract by providing seven days written notice and confirming that Products must be returned to LORENTZ in good condition at the Buyer cost. The buyer is obligated to surrender the Products.

Where the Buyer has further processed the Products or they have been indivisibly connected or combined to other items that do not belong to LORENTZ, LORENTZ reserves title of the Products. In this case LORENTZ acquires joint title to the new item proportionate to the value of the Products sold.

Where payments are due and Products have been resold or the legal status of the Buyer changes, the Buyer assigns to LORENTZ all present or future claims to which it is entitled with regard to the value of the Products supplied. The Buyer is authorized, until such right is withdrawn by LORENTZ, to collect the claims arising from the resale or distribution. At LORENTZ request the Buyer shall inform his debtor of the assigned claim and provide the necessary information and documentation to assert the rights against the debtor and inform the debtor on LORENTZ behalf.

LORENTZ reserve all rights, including but not limited to, copyrights, ownership rights and other intellectual property rights on Products sup-plied to the buyer in electronic or any other form. They may not be copied, forwarded or disclosed to any third party unless explicitly confirmed in written form by LORENTZ.

We reserve the right to withdraw the grant of software usage rights and access to privileged information for the Buyer, if the buyer is more than 30 days in default of payment.

8 Warranty

LORENTZ warranty is defined by the warranty policies of the Products available to all buyers on partnerNET. Warrant policies can also be provided on request.

The Buyer must provide LORENTZ with adequate time and opportunity to analyze, provide any replacement parts or conduct repairs that we deem necessary. This may include but Is not limited to access to the defective parts, use of our analytical tools and IT equipment. With adequate opportunity LORENTZ is exempt from all liabilities.

If the Buyer or any third party performs improper repairs or analysis on Products without giving LORENTZ the opportunity to rectify the defect, LORENTZ is exempt from all liabilities and consequences.

9 Defects in software can be resolved with updates

The Buyer should return defective parts at the request of LORENTZ. If warranty replacement has been granted the Buyer should store the defect parts for six weeks in case they are needed for analysis by LORENTZ. After the six weeks the Buyer is obligated to destroy and scrap the defect product.

10 Liability

The Buyers right to demand compensation for fault based claims is restricted to cases of

  • Deliberate acts or gross negligence on the part of LORENTZ
  • The negligent breach of material contractual obligations (cardinal obligations)
  • The malicious concealment of defects

In the event of a negligent breach of material contractual obligations (cardinal obligations) the claim is limited to the amount of the foreseeable damages typical for this kind of defect. Liability cannot exceed the value of the specific contract between the Buyer and LORENTZ or USD 25.000 which-ever is the lower.

All further compensation claims are excluded.

11 Software

LORENTZ grants upon the provision and payment of software a non-exclusive, non-transferrable contractual right to use the software for the business purpose it is made for.

LORENTZ reserves all other rights in and to the software including related material and documentation.

Buyer shall be responsible for ensuring that the hardware used for the Software is suitable for the requirements.

12 Place of performance, legal venue, applicable law and miscellaneous

Place of performance for all deliveries EXW LORENTZ warehouse Germany is Henstedt-Ulzburg/Germany, for all deliveries EXW LORENTZ factory it is Beijing/China.

Legal venue for all disputes, including cross border legal disputes, with buyers of any delivery of LORENTZ is Hamburg/Germany. LORENTZ is also entitled to file at the Buyers registered business location. The law of Germany applies also to all written agreements concluded in the context of the business relationship unless they contain an alternative applicable law clause. The German language wording of the GTCs will be used in cases of doubt.

Should a provision in these general terms and conditions or a provision in any other agreements be or become invalid, this shall not affect the validity of the remainder of the provision or agreements. A valid provision which comes as close as possible to the intention of the parties is deemed to have been agreed in place of the invalid provision. The same resolution applies in the event of an omission.

13 Communication

13.1 Scope and agreement

The following provisions govern the exchange of information between LORENTZ and any natural or legal person that is not an employee of LORENTZ and acts as sender or recipient of information in connection with the contractual relationship (each an “External Party”). For the purposes of these provisions, the term External Party includes the Customer.

By entering into a contract with LORENTZ or by exchanging information with LORENTZ, the External Party agrees that such exchange is subject to these provisions.

These provisions constitute the information security agreement governing the exchange of information between LORENTZ and the External Party, unless and until superseded by a more specific written agreement signed by both parties.

13.2 Identification and authentication of external parties

LORENTZ shall only exchange information with External Parties whose identity and authorization have been appropriately verified.

Depending on the criticality of the information and the risk assessment, LORENTZ may require one or more of the following identification and authentication methods, or equivalent measures:

  1. use of digital signatures, certificates or comparable mechanisms,
  2. call-back to a telephone number communicated via an independent channel,
  3. verification of contact persons and their identity via web meeting or similar means,
  4. strong authentication mechanisms (including multi-factor authentication) for access to LORENTZ systems, or
  5. any other reasonable method ensuring reliable identification of the External Party and its authorized representatives.

The External Party shall cooperate with such identification and authentication measures and shall ensure that only duly authorized persons act on its behalf when communicating with LORENTZ or accessing information or systems provided by LORENTZ.

13.3 Access control

The External Party shall ensure that access to information received from LORENTZ, and access to any LORENTZ systems or applications, is granted strictly on a need-to-know basis and limited to users authorized for the respective purpose.

The External Party shall implement and maintain appropriate technical and organizational access controls, including at least:

  1. user-specific accounts and secure authentication procedures,
  2. timely assignment, review, modification and removal of access rights,
  3. restriction and monitoring of privileged access, and
  4. safeguards to prevent unauthorized access, disclosure, alteration or loss of information.

LORENTZ reserves the right to approve, restrict or revoke the External Party’s access rights to information and systems where required for information security, data protection, legal or compliance reasons.

Integrity and non-repudiation

The parties shall take reasonable measures to safeguard the integrity of information exchanged and to ensure, where appropriate, non-repudiation of critical transactions.

Such measures may include, as appropriate:

  1. version control for documents and data,
  2. auditable change logs and activity logs,
  3. cryptographic integrity checks (e.g. checksums, digital signatures), and
  4. retention of relevant communication records and system logs.

The External Party shall not circumvent, disable or interfere with integrity or logging mechanisms implemented by LORENTZ in systems or services used for the exchange of information.

13.4 Security of transmission

The parties shall use industry-standard technical and organizational measures, in line with the state of the art and a risk-based approach, to protect information in transit against unauthorized access, alteration, loss or destruction.

This includes, without limitation, the use of secure communication protocols (such as TLS or equivalent), encryption of sensitive information where appropriate, and secure handling of physical media and portable storage devices.

Where LORENTZ specifies particular transmission channels or security measures for certain types of information (for example secure portals, encrypted e-mail gateways, secure file transfer services), the External Party shall use such channels or measures for the specified purposes and types of information.

13.5 Reporting of information security events and vulnerabilities

Each party shall notify the other without undue delay of any actual or suspected information security event or incident relating to information exchanged under these provisions. This includes, in particular:

  1. loss of confidentiality due to misdirected communications or unauthorized disclosure,
  2. compromise or suspected compromise of authentication credentials used in connection with LORENTZ systems or services, and
  3. any other breach that may materially affect the availability, integrity or confidentiality of information exchanged with LORENTZ.

The External Party shall promptly inform LORENTZ of any identified vulnerabilities in systems, applications or processes that are used to exchange information with LORENTZ, where such vulnerabilities could reasonably pose a risk to LORENTZ information or systems.

The External Party shall cooperate with LORENTZ in investigating, mitigating and remediating information security events or incidents and shall provide all relevant information reasonably requested by LORENTZ for that purpose.

13.6 Handling and classification of information

The External Party shall comply with the information classification and handling requirements communicated by LORENTZ from time to time, including any “Information Classification Policy” or equivalent documentation referenced in the applicable agreement or otherwise made available to the External Party.

Where LORENTZ labels information as confidential, restricted or with a similar classification, the External Party shall handle such information strictly in accordance with the corresponding handling instructions, including with respect to storage, access, transmission, copying, retention and destruction.

If the External Party applies its own information classification scheme, it shall ensure that the level of protection afforded to information received from LORENTZ is at least equivalent to that required by the classifications and instructions issued by LORENTZ.

13.7 Intellectual property and data protection

The parties shall comply with all applicable intellectual property, copyright and related laws in connection with the exchange and use of information under these provisions. No license to use any intellectual property rights of LORENTZ is granted except as explicitly agreed in writing.

Each party shall comply with applicable data protection and privacy laws, including, where applicable, the EU General Data Protection Regulation (GDPR), when processing personal data exchanged in connection with the contractual relationship.

Where LORENTZ processes personal data on behalf of the External Party, or the External Party processes personal data on behalf of LORENTZ, the parties shall enter into a separate data processing agreement or other documentation required under applicable data protection laws. In the event of any conflict between these provisions and such data processing agreement, the latter shall prevail for the processing of personal data.

13.8 Additional requirements for suppliers and service providers

External Parties acting as suppliers or service providers to LORENTZ shall, in addition to these provisions, comply with the information security and supplier management requirements issued by LORENTZ from time to time, including any “Supplier Information Security Requirements” or similar documents referenced in the relevant purchase order, framework agreement or other contractual documentation.

Subject to reasonable prior notice and confidentiality obligations, LORENTZ may conduct, or have conducted by a third party, reasonable audits or assessments of the External Party’s compliance with such requirements, to the extent necessary to verify adherence to these provisions and applicable contractual obligations.

13.9 Changes to information security requirements

LORENTZ may update or supplement the information security requirements set out in these provisions where necessary to reflect changes in the state of the art, applicable law, recognized standards or the risk situation. LORENTZ shall notify the External Party of material changes in an appropriate manner.

If the External Party reasonably demonstrates that it cannot implement a material change using reasonable efforts, the parties shall discuss in good faith an alternative solution that provides an equivalent level of protection. If no such solution can be agreed, the parties’ rights of termination under the applicable agreement shall remain unaffected.
